This thesis is dealing with problems connected with the term The care of proper manager, that forms the basic requirement of quality of work margin in czech companies. The content is divided into nine chapters. The first chapter brings an introduction into the dilemma. It is stated here why have I chosen this topic, why do I consider this topic to be important and I am laying down the aims of my thesis. In the end, there are mentioned the methods which has been used while writting this thesis. The second chapter, the most extensive one, is focused on Proper manager' s care as a term. It is trying to define, describe and file this term legislatively; not only in terms of company law, but also in the scope of other legal enactments. Then the work focuses on subjects on which is laid the duty of conducting issues with Proper manager's care. Then there is mentioned the historical evolution of this term. In, according to my opinion, the most important part of this thesis; the term Proper manager's care is determined in comparison with the terms Appropriate care and Professional care. Risk management in Corporate Governance

The objective of this master's thesis is to describe and analyze role of risk management in corporate governance. Specifically, a thesis focuses on comparison of existing practices in chosen states and examines whether quality of risk management in corporate governance is different in large and mid capitalaization companies. The thesis is divided into several parts: firstly, theory of corporate governance and risk management are introduced with explanation of their interconnection, which also contain defined list of methods and tools for evaluation of risk management and corporate governance quality. In the analytical part of the thesis, comparative analysis of risk management practices in different states is applied with evaluation of their quality, methods of statistical analysis are employed to test the hypothesis about difference of risk management quality in companies with large and mid capitalization and strength and weaknesses of corporate governance and risk management in particular states are summarized.
Changes in corporate governance regarding private law recodification

The primary aim of this thesis is to conduct a comparative analysis of the former and the current private law regulations concerning governance of joint-stock companies. What this thesis mainly focuses on are practical impacts of the change and problematic areas which are uncertain to interpret. This work is divided into two parts, theoretical and practical application. The former deals with the definition of the term corporate governance, theoretical bases of corporate governance and governance models and theories. In the latter the most fundamental changes brought by the recodification are taken into consideration, these being the possibility of choice between monistic and dualistic corporate governance systems, adaptation to the new regulations and the changes regarding the statutory representative. In this section, the thesis comments on the terms due care and and business judgement rule.
Causes and consequences of hostile takeovers in Corporate Governance

The essential goal of this bachelors thesis is to analyse the most important reasons, causes and consequences of hostile takeovers in corporate governance, and to do so on selected cases from the real corporate world. The structure of this thesis is divided into two parts. First is the theoretical part about the theory of corporate governance with its focus on the subject of takeovers. In the second part is the analysis of specific cases of hostile takeovers in the corporate world. The goal of this thesis is to extrapolate from these examples to show how they can be applied to the Czech economy, and also to show how recommendations can be derived from them.
The Impact of Board Structure and Diversity on IPO Underpricing

The objective of this doctoral dissertation is to extend the existing knowledge in the area of Corporate Governance in the region of Central Europe. Specifically, a study focuses on companies entering the public market and examines whether board structure and diversity have an impact on the success of the Initial Public Offering. The dissertation is divided into several parts. Firstly, theory of Corporate Governance and Signaling theory, explaining the potential influence of the board characteristics on the public offering outcome, are introduced. The following is an extensive literature review related to each of the selected variables. In the analytical part of the thesis, methods of statistical analysis are employed to verify the hypotheses and the results are discussed considering the findings of prior studies.

As the topic itself might advice, this diploma thesis examines the issue of governance of a real company, TQM -- Holding s.r.o. The fundaments of this thesis are the management in the mentioned organization and the ownership structure of said organization, as well as its administrative bodies and their activities. The thesis examines whether the organizational and ownership structure of the company are well chosen in the sense that the company is able to operate effectively for both its future development and the satisfaction of its customers. The analysis aims, among others, to find out what competencies were passed on the managers by the owners -- and what competencies the owners have refused to delegate, i.e. in what way the owners might take part in managing the company.
Corporate Governance in Financial Crisis

This Master's thesis aims to analyze changes in the corporate governance during the financial crisis, highlight the main changes in the field of corporate governance in UniCredit during this period and compare UniCredit`s Corporate Governance with OECD principles. In addition, on the basis of the analysis carried out, my objective will be to recommend possible updates in the Principles and also generalize the findings in order to help Czech companies improve their current system of governance.
Integrated reporting in practice

This paper deals with integrated reporting and its use in practice. The theoretical part consists of three areas. The first deals with the development of the corporate reporting from the 16th century to the present day and is further divided into periods of financial reporting, non-financial reporting and history of integrated reporting. Integrated reporting was created as a response to the increasing volume of corporate reports and the related reduction of their informative value. The second area deals with the presentation of the results of three studies that dealt with the application of integrated reporting in practice and the third area summarizes the key aspects of integrated reporting standard. The practical part deals with a comparative analysis of four integrated reports and its aim is to reveal best practice in the context of an approach to integrated reporting in practice and at the same time it serves as source of information for the final discussion, which formulates the limits of integrated reporting and recommends steps for its future development. The reports were selected based on their location in the charts of two institutions that prepares ranking of the best integrated reports, and were examined in terms of meeting the requirements in three areas according to standard IIRC.
Corporate governance, network theory, and interlocking directorates in the Czech Republic

The goal of this dissertation thesis is to expand the current knowledge in the area of corporate governance in the Czech Republic. The document consists of several parts. First, a brief introduction to the field of corporate governance is provided. The introduction is followed by the analysis of the data sample in the context of corporate governance, and the search for a potential relationship between the implementation of the principles of corporate governance and financial performance of companies. The next part offers a theoretical introduction to the theory of networks with an emphasis on social and economic networks. In the final part, the empirical network of interlocking directorates in the Czech Republic is presented. The discussion is focused on the structure of the network and its comparison with structures in real business environment in the Czech Republic, and with similar networks from other countries.
